Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Dahn Jay Tech platform, including all features, AI tools, integrations, and associated services.

Effective date: August 2026. By creating an account or using DJT services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. The agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you (and, if applicable, the organization you represent) and Dahn Jay Tech ("DJT," "we," "our," or "us"). By creating an account, accessing our platform, or using any DJT service, you accept and agree to be bound by these Terms and our Privacy Policy.

These Terms apply to the DJT web platform, Atlas AI, Business Memory, Pulse, workforce and payroll tools, communications features, educational courses, mobile PWA access, and all associated APIs and integrations.

2. Eligibility

To use DJT, you must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction. If you are creating or using an account on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

DJT is a business platform. It is not intended for personal, household, or consumer use. By registering, you confirm that you are using DJT for legitimate business purposes.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for promptly notifying DJT if you suspect unauthorized access. DJT recommends enabling multi-factor authentication, which is available in account settings.

You must provide accurate, current, and complete information when creating your account and keep it updated. DJT may verify identity or business information as part of onboarding or ongoing compliance. Providing false information is a basis for account suspension or termination.

Each account is for a single organization unless DJT has explicitly enabled multi-business access for your account. You may not share account access with unauthorized third parties or resell access to DJT without our written authorization.

4. Services

DJT provides business software and AI services on a subscription basis. The features available to your account depend on the subscription plan you have selected. DJT may change, add, or remove features from time to time; material reductions in core subscribed features will be communicated with reasonable notice.

DJT services may include integrations with third-party providers such as Google, Microsoft, Telnyx, Stripe, Flutterwave, WhatsApp, Anthropic, and OpenAI. DJT does not control those providers and cannot guarantee their availability. Third-party outages do not entitle customers to refunds except as described in our Service Reliability & Refund Policy.

DJT may offer features in beta or preview. Beta features are provided as-is without warranty and may be modified, suspended, or removed without notice.

5. Acceptable use

You agree to use DJT only for lawful purposes and in accordance with these Terms. You must not:

  • Use DJT to violate any applicable law, regulation, or third-party right.
  • Upload, transmit, or store content that is unlawful, harmful, fraudulent, defamatory, obscene, harassing, abusive, or that infringes third-party rights.
  • Attempt to gain unauthorized access to DJT systems, other customer data, or any related infrastructure.
  • Use automated tools to scrape, crawl, or extract data from DJT without our written authorization.
  • Reverse engineer, decompile, or attempt to derive source code from DJT software.
  • Resell, sublicense, or white-label DJT services without an express written reseller agreement.
  • Interfere with the performance, integrity, or security of DJT services or the experience of other customers.
  • Use DJT to send spam, unsolicited communications, or messages that violate applicable messaging laws.
  • Impersonate DJT, another user, or any person or organization in a misleading way.
  • Use DJT AI features to generate content that is deceptive, fraudulent, harmful, or that you know to be false.

DJT may suspend or terminate access for any violation of this section without prior notice where necessary to protect the platform, other customers, or third parties.

6. Prohibited businesses

DJT may not be used to operate or support the following types of businesses or activities, regardless of legality in your jurisdiction:

  • Weapons manufacturing, trading, or distribution (including unlicensed firearms or ammunition).
  • Illegal drugs, controlled substances, or paraphernalia.
  • Human trafficking, forced labor, or exploitation.
  • Adult content platforms or services directed at minors.
  • Gambling operations without applicable licensure.
  • Pyramid schemes, multi-level marketing with fraudulent claims, or Ponzi schemes.
  • Cryptocurrency exchanges or token issuance that violate applicable securities or financial regulations.
  • Sanctions-restricted entities or individuals on applicable sanctions lists (US OFAC, UN, or equivalent).
  • Any activity that DJT determines, in its reasonable discretion, creates unacceptable legal, reputational, or compliance risk.

During onboarding, you attest that your business does not fall into a prohibited category. If a prohibited use is discovered after onboarding, DJT reserves the right to terminate the account immediately without refund.

7. AI features & Atlas

DJT offers AI-powered features including Atlas (business AI), phone AI agents, email and communication automation, and other AI workforce capabilities. You acknowledge that:

  • AI output may be inaccurate, incomplete, or unsuitable for particular decisions. DJT does not guarantee AI accuracy.
  • You remain responsible for reviewing AI-generated content before relying on it for business, legal, financial, employment, medical, or other consequential decisions.
  • AI features process information you provide (prompts, Business Memory, uploaded documents) through authorized AI infrastructure providers. See our Privacy Policy for details.
  • You must not use AI features to generate content that is deceptive, fraudulent, defamatory, or that violates applicable law.
  • AI phone features may record or transcribe calls where enabled. You are responsible for obtaining legally required consents from call participants in your jurisdiction.

DJT's AI systems are designed with tenant isolation so that your Business Memory is not intentionally shared with other customers. No system is perfect — you should not input information into Business Memory that you would not be comfortable disclosing under a data breach scenario.

8. Payments & billing

Subscription fees are billed in advance on a monthly or annual cycle depending on your plan. Fees are non-refundable except as described in the Service Reliability & Refund Policy. DJT Credits (used by AI features) are consumed as operations are performed and are non-refundable.

You authorize DJT to charge your selected payment method on each billing cycle. Failed payments may result in service suspension. It is your responsibility to keep payment information current. DJT uses authorized payment processors (Stripe, Flutterwave, M-Pesa, Wise); DJT does not store full payment card numbers.

DJT may change subscription prices with at least 30 days' written notice before the change takes effect for existing subscribers. Continued use after the price change effective date constitutes acceptance of the new pricing.

9. Intellectual property

DJT retains all intellectual property rights in the platform, software, AI models, brand, designs, documentation, and all content DJT creates. These Terms do not transfer any DJT intellectual property to you.

You retain ownership of the content, business information, and data you provide to DJT ("Customer Content"). You grant DJT the limited license necessary to store, process, transmit, and use Customer Content to provide and improve the DJT services you have subscribed to. DJT does not claim ownership of your Customer Content.

DJT does not use your private Business Memory or Customer Content to train general-purpose AI models made available to other customers without your authorization.

10. Customer data

You are responsible for the accuracy and lawfulness of the data you submit to DJT, including employee information, payroll data, business records, and communication content. DJT processes Customer Data to provide requested services and does not use it for purposes outside these Terms without your authorization.

For employee and workforce data, you (the employer) are responsible for providing required privacy notices to employees, obtaining necessary consents, and ensuring that your use of DJT workforce tools complies with applicable employment and privacy law. DJT is not the employer of any person whose data is processed through the platform.

11. Confidentiality

Each party may receive confidential information of the other in connection with these Terms. Each party agrees to keep the other's confidential information secret, to use it only as necessary to perform obligations or exercise rights under these Terms, and to apply reasonable security measures to protect it.

These obligations do not apply to information that is or becomes publicly available through no breach of these Terms, was independently developed, was known prior to disclosure, or is required to be disclosed by law (in which case, advance notice to the disclosing party should be given where legally permissible).

12. Termination

You may cancel your DJT subscription at any time through your account settings. Cancellation takes effect at the end of the current paid billing period; access continues until that date. Unused prepaid fees are non-refundable except as stated in the Refund Policy.

DJT may suspend or terminate your access immediately if you violate these Terms, engage in prohibited conduct, fail to pay fees after notice and a reasonable cure period, or if required by law. DJT will give reasonable notice where possible, except in cases of serious violation, fraud, or security threat.

Upon termination, your right to access the platform ends. DJT will handle your Customer Data in accordance with the Privacy Policy. Sections of these Terms that by their nature should survive termination (including sections on IP, liability, disputes, and confidentiality) will survive.

13. Disclaimers

DJT services are provided "as is" and "as available." To the maximum extent permitted by applicable law, DJT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free, or completely secure.

DJT does not warrant the accuracy, completeness, or suitability of AI-generated output. AI output is not legal, financial, medical, employment, or professional advice. You use AI output at your own risk and remain responsible for reviewing it before acting on it.

Some jurisdictions do not permit exclusion of implied warranties. Where applicable law requires a warranty that cannot be excluded, DJT's liability for breach of that warranty is limited to the maximum extent permitted.

14. Limitation of liability

To the maximum extent permitted by applicable law, DJT's total cumulative liability to you arising from or related to these Terms or the services — whether in contract, tort (including negligence), strict liability, or any other theory — will not exceed the greater of (a) the total fees you paid to DJT in the twelve months preceding the claim, or (b) USD $100.

DJT will not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, business interruption, loss of goodwill, or cost of substitute services, even if DJT has been advised of the possibility of such damages.

These limitations apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow limitation or exclusion of certain damages — in those cases, DJT's liability is limited to the fullest extent permitted.

15. Disputes & governing law

Before initiating any formal dispute, you agree to contact DJT at hello@dahnjay.tech and attempt to resolve the matter informally for at least 30 days. Most concerns can be resolved this way.

These Terms are governed by applicable law. DJT serves customers in the United States and Kenya; the governing law applicable to a dispute will depend on the customer's primary jurisdiction of operation and applicable consumer or commercial law. DJT will work in good faith to resolve disputes fairly.

Note: Specific arbitration, class-action waiver, and governing law/jurisdiction provisions are subject to finalization by legal counsel and will be updated in a future version of these Terms.

16. Changes to these terms

DJT may update these Terms from time to time. When we make material changes, we will notify you via the DJT dashboard or your registered account email with at least 14 days' notice before the changes take effect for existing subscribers, unless the change is required by law or addresses an urgent security matter.

Continued use of DJT after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not accept a material change, you may cancel your subscription before the new effective date.
